CONSTITUTION OKLAHOMA ASSOCIATION OF TAX REPRESENTATIVES (as amended 1/1/80) ARTICLE I Name The association hereby constituted shall be known as the Oklahoma Association of Tax Representatives. ARTICLE II Object of Association The objects and purposes for which the Association has been organized are, primarily, as follows: (A) To aid in keeping local tax rates within reasonable limits. (B) To assist in preventing the imposition of illegal or unauthorized taxes. (C) To seek improvements in the administration of State and local government and to reduce its costs. (D) To seek equalization of assessments between the several classes of property subject to ad valorem tax levies. (E) To obtain and disseminate among its members information relating to the affairs of the State of Oklahoma, and its political subdivisions, through the issuance of bulletins and reports. ARTICLE III Qualifications for Membership Any employee or representative of a communication, electric, gas, oil, water, railway, airline, pipe line company or any other privately financed corporation doing business in the State of Oklahoma who is involved in the property tax interests of his company shall be eligible for membership in this association. ARTICLE IV Voting Every member of this Association shall be entitled to a voice, and vote in its proceedings, but no vote of the Association, as to the methods of policy suggested, shall bind any member or company to adopt such methods or policy. ARTICLE V Officers, Election and Committee The Officers of the Association shall be as follows: -

The officers of the Association shall be elected at the first regular meeting in each year beginning with the year 1970. Such election shall be by ballot and the person receiving the highest number of votes for each office shall be declared by the presiding officer to have been elected. The term of office for each officer shall be for one year and thereafter until his successor has been elected and has qualified. Each new officer shall take office at the close of the regular meeting at which he was elected. No person shall serve as President for more than two consecutive terms. Should a vacancy occur in any office of the Association said vacancy shall be filled by an election at the next regular meeting; provided, that should said next regular meeting be the meeting at which the election of officers is held, as herein provided, the person elected to the office in which the vacancy existed shall take office immediately; provided further, that should a vacancy occur in the office of Secretary or Treasurer the President shall immediately appoint a member to serve in said capacity or capacities, until an election is held for said office or offices. ARTICLE VI Nominating Committee A committee shall be appointed by the President composed of a Chairman and two additional members, no two of which shall be representatives of the same industry. ARTICLE VII Annual and Special Meetings There shall be two regular annual meetings of this Association to be held at such time and place as may be designated by the President or in his absence a majority of the officers. Such regular meetings, within a calendar year, shall be separated by at least four months. The first regular meeting shall be held during the first six months of the calendar year and the second regular meeting shall be held during the last six months of the calendar year. Special meetings of the Association may be called in the same manner as provided for regular meetings at any time when deemed necessary or advisable by the President. A written notice of the time and place of each regular meeting shall be mailed to each member by the Secretary not less than ten days prior to the date of said meeting. And, such notice of each special meeting shall be so mailed not less than five days prior to the date of said meeting. ARTICLE VIII Quorum Representatives of four or more member companies present at any regular or special meeting of this Association shall constitute a quorum for the transaction of business. ARTICLE IX Compensation No member or officer of this Association shall receive any pecuniary compensation from this Association for his services or allowance for expenses, except such expenses as may be incurred by the Secretary acting under the direction of the Association or of the President. ARTICLE X Membership Dues (as amended 1/1/80) Each member of this Association, except life members, shall pay to the Treasurer annual dues of $5.00. Said annual dues to be due January 1st, and payable not later than the first regular meeting of the Association in each calendar year. When any member shall allow his dues to go unpaid for two consecutive years, he shall be notified in writing by the Treasurer of his delinquency and unless his dues are paid before the next regular meeting, his name shall be automatically dropped from the membership roll.
ARTICLE XI Amendments This Constitution may be altered or amended by a two-thirds vote of those present at any regular meeting provided written notice of meeting and copy of proposed amendments have been forwarded to each member at least 10 days prior to the date of the meeting.
